THE EXECUTIVE STORY

A public-company foundation built for the next chapter

Formation, SEC registration & full over-allotment execution

The company’s Form S-1 registration statement (File No. 333-289204) became effective on November 19, 2025. A $300 million base offering of 30 million units was priced at $10.00 per unit; the underwriters exercised their 15% over-allotment option in full, adding 4.5 million units.

The IPO closed on December 5, 2025 with 34.5 million units sold and $345 million in gross proceeds, before underwriting discounts, commissions and offering expenses. Initial trust funding of $345 million was held with Odyssey Transfer and Trust Company.¹

The SPAC’s stated focus was U.S.-based businesses contributing to domestic manufacturing, technological innovation, infrastructure and critical supply chains. The IPO established the public-market vehicle; it was not itself a completed acquisition or de-SPAC transaction.

Leadership recognized by the boardroom

When George transitioned from the CFO role effective August 26, 2026, the company publicly recognized his contribution:

“On behalf of the Board and the entire New America team, I want to thank George for his leadership through our formation and initial public offering and for the strong financial foundation he helped build.”— Kyle Wool, Chief Executive Officer
